Avelika Terms of Service
These Terms of Service ("Terms") govern your use of Avelika's websites, applications, and AI-powered content creation services (the "Service").
By creating an account, purchasing paid access, or otherwise using the Service where acceptance is requested, you agree to these Terms.
1. Service operator
The Service is operated by:
Operator: ИП Зарубинский Николай Вячеславович
Registered address: 125464, г. Москва, Новотушинский проезд, д. 8, корп. 1
Contact: support@avelika.com
In these Terms, "Avelika", "we", "us", and "our" refer to the operator identified above.
2. The Service
Avelika is an AI-enabled SaaS service for creating product and related commercial content.
Depending on the features available to you, Avelika may help you:
- upload and analyze product images;
- identify or propose product characteristics;
- generate product images and content variations;
- create cards with text or infographic-style content;
- create descriptions, characteristics, and benefits;
- generate short video;
- replace a product within a reference scene or composition;
- create new content from previous outputs;
- adapt or prepare content for selected channels or marketplaces.
Features may change, be released experimentally, or be limited by plan, region, provider availability, or technical constraints.
3. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into these Terms under the law applicable to you. If you use Avelika on behalf of a company or other organization, you also represent that you are authorized to bind that organization.
Available authentication methods may include third-party identity providers and email-based authentication.
You are responsible for:
- maintaining the security of your account;
- providing accurate information where required;
- activity performed through your account;
- notifying us if you suspect unauthorized access.
You may not sell, transfer, or share account access in a way that circumvents plan limits, billing controls, security measures, or applicable law.
4. User Content
"User Content" includes images, references, logos, text, prompts, instructions, product facts, files, and other material you submit to the Service.
You retain the rights you already have in your User Content.
By submitting User Content, you represent that:
- you own it or have sufficient rights and permissions to use it;
- our processing of it to provide the requested Service does not violate applicable law or third-party rights;
- where people are depicted, you have any permissions or lawful basis required for the intended use.
You grant Avelika a limited, non-exclusive right to host, copy, transmit, process, transform, and otherwise use User Content as reasonably necessary to operate, secure, support, and improve the Service in accordance with these Terms and the Privacy Policy.
Private customer assets will not be intentionally added to a public or shared global asset library without an explicit permission mechanism.
5. Outputs
"Output" means images, text, video, descriptions, concepts, product facts, or other material generated or transformed through the Service.
Subject to applicable law, third-party rights, your compliance with these Terms, and any applicable third-party provider restrictions:
- Avelika does not claim ownership of your original User Content;
- as between you and Avelika, you may use Outputs created for you for lawful personal or commercial purposes;
- Avelika retains ownership of the Service, software, APIs, interfaces, workflows, orchestration, templates, systems, branding, and other platform technology.
AI-generated Outputs may not be unique. Other users may receive similar or identical results.
We do not guarantee that any Output is eligible for copyright, trademark, or other intellectual-property protection in every jurisdiction.
6. AI limitations and user review
Avelika uses automated and AI systems. Outputs may be inaccurate, incomplete, inconsistent, unsuitable, or visually incorrect.
For example:
- recognized product attributes may be wrong;
- generated text may contain incorrect facts;
- images may alter geometry, color, text, logos, materials, reflections, or product details;
- AI may infer information that requires confirmation;
- generated content may need editing or review before publication.
You are responsible for reviewing Outputs before relying on them, publishing them, selling products with them, or using them in advertising or other commercial contexts.
7. Marketplace and commercial use
Avelika may provide marketplace-aware presets, warnings, recommendations, formatting assistance, or preflight checks.
These features are intended to assist your workflow. They do not guarantee that an Output:
- complies with every marketplace rule;
- will be accepted or remain accepted by a marketplace;
- satisfies all advertising, labeling, product-safety, consumer-disclosure, or regulatory requirements;
- will improve sales, ranking, conversion, or other commercial performance.
Marketplace and regulatory rules may change independently of Avelika.
You remain responsible for final marketplace, advertising, commercial, and regulatory compliance.
8. Acceptable Use Policy
Your use of Avelika is also subject to the Avelika Acceptable Use Policy, which is incorporated into these Terms.
You must not use the Service to:
- violate applicable law or third-party rights;
- submit content you are not authorized to use;
- facilitate fraud, unlawful impersonation, harassment, exploitation, or abusive conduct;
- create or distribute unlawful or infringing content;
- bypass billing, credits, rate limits, account controls, or security restrictions;
- interfere with or attempt unauthorized access to the Service;
- use unsupported automation in a way that disrupts the Service.
We may apply additional safeguards to person-related image generation, try-on, video, regulated categories, APIs, or other higher-risk features.
9. Sensitive and confidential information
Unless a workflow expressly supports it and is designed for that purpose, do not upload highly sensitive, regulated, confidential, or unnecessary personal information.
Avelika is not intended to be a general-purpose storage service for identity documents, medical records, banking credentials, passwords, private customer databases, or similar sensitive records.
10. Plans, credits, subscriptions, and usage
Avelika may offer free access, credits, subscriptions, prepaid usage, or other pricing models.
The current product and checkout flow should display the applicable:
- price;
- included usage or credits;
- renewal terms, if any;
- usage limitations;
- taxes where applicable;
- material purchase conditions.
Credits and entitlements are associated with the account, workspace, or plan to which they were issued and may be subject to expiration or other conditions disclosed at the time they are granted or purchased.
Avelika may restore credits, reverse usage, or take another reasonable action when a generation fails because of a verified service-side technical error. Treatment of provider failures, retries, or partially completed jobs may depend on the billing rules shown in the Service.
11. Payments and recurring subscriptions
Payments may be processed by third-party payment providers.
You authorize Avelika and the applicable payment provider to charge your selected payment method for valid purchases.
If Avelika offers an automatically renewing subscription:
- the renewal interval and price will be disclosed before purchase;
- you may cancel future renewals using the method made available in the Service or by the payment provider;
- cancellation does not retroactively cancel usage already delivered;
- mandatory consumer rights remain unaffected.
Avelika may receive transaction status and payment metadata from payment providers. Where the provider collects payment-card data directly, Avelika does not intend to store full card numbers.
12. Refunds and billing corrections
Refund eligibility depends on:
- the terms disclosed at purchase;
- applicable consumer law;
- whether the digital service or purchased credits have already been used;
- the reason for the request;
- whether a verified Avelika technical failure prevented delivery.
Where appropriate, Avelika may resolve a verified service-side generation failure by restoring credits, re-performing the service, or issuing a refund.
Nothing in these Terms limits any refund, cancellation, cooling-off, or other consumer right that cannot lawfully be excluded.
13. Avelika intellectual property
Avelika and its licensors own the Service and related intellectual property, including software, APIs, interfaces, workflows, orchestration, internal systems, documentation, trademarks, and branding, except for User Content and third-party materials.
These Terms do not transfer ownership of the Avelika platform to you.
14. Feedback
If you voluntarily provide feedback, bug reports, suggestions, or feature ideas, you permit Avelika to use that feedback to operate and improve the Service without an obligation to compensate you.
This does not transfer ownership of your separate User Content to Avelika.
15. Suspension and termination
We may block a request, restrict functionality, suspend an account, or terminate access when reasonably necessary to:
- address suspected fraud, abuse, prohibited content, or security threats;
- investigate a material violation of these Terms or the Acceptable Use Policy;
- prevent harm to users, providers, Avelika, or third parties;
- comply with law or binding provider restrictions;
- address overdue payment where applicable.
Where reasonable, we may provide notice or an opportunity to resolve the issue. Immediate action may be necessary for security, abuse, fraud, or legal reasons.
You may stop using the Service at any time. Account deletion and subscription cancellation are separate actions unless the Service expressly states otherwise.
16. Service availability and changes
Avelika may add, change, limit, suspend, or discontinue features.
The Service may be interrupted or degraded because of:
- maintenance;
- cloud or network failures;
- third-party provider outages;
- AI-provider capacity;
- security events;
- experimental feature changes;
- events outside our reasonable control.
Unless a separate written service-level agreement states otherwise, we do not guarantee uninterrupted, error-free, or continuously available service.
17. Third-party services
Avelika may integrate with identity providers, AI providers, payment providers, storage vendors, analytics providers, marketplaces, or other third-party services.
Third-party services may be governed by their own terms and privacy policies. Avelika is not responsible for third-party systems outside our reasonable control.
18. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.
We do not guarantee that:
- every generation will succeed;
- every Output will be accurate, unique, non-infringing, commercially effective, or suitable for a specific purpose;
- marketplace acceptance is guaranteed;
- service errors will always be corrected immediately;
- a particular provider, model, feature, storage location, latency, or price will remain available.
Mandatory rights and warranties that cannot lawfully be excluded remain unaffected.
19. Limitation of liability
To the maximum extent permitted by applicable law, Avelika will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or loss of data arising from your use of the Service.
To the maximum extent permitted by applicable law, Avelika's aggregate liability arising out of or relating to the Service will not exceed the greater of:
- the amount you paid to Avelika for the Service during the 12 months immediately before the event giving rise to the claim; or
- the minimum liability amount that applicable law requires us to provide.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
20. Business-user responsibility
If you use Avelika for a business, organization, client, or marketplace seller, you are responsible for ensuring that your use of User Content and Outputs complies with the rights of third parties and laws applicable to that business use.
To the extent permitted by applicable law, a business user is responsible for third-party claims arising from User Content it was not authorized to submit, unlawful commercial claims it chose to publish, or material misuse of the Service.
21. Changes to these Terms
We may update these Terms as the Service changes.
Where required by applicable law, we will provide reasonable notice of material changes.
The version and effective date published with these Terms identify the terms that apply.
22. Governing law and disputes
These Terms are governed by the laws of Russian Federation, without regard to conflict-of-law principles, except where mandatory consumer law provides otherwise.
Any dispute that must be resolved in court will be subject to the courts of applicable venue under Russian procedural law, subject to mandatory consumer rights., except where applicable law gives a consumer the right to bring a claim elsewhere.
